Disclosure for recognition and exemption conditions

Disclosure to all participants (including indirect market participants):

(i) that all offers of securities made on the Organised Market are made in reliance on an

exemption under Subdivision (4) of Division 1 under Part XIII of the SFA;

(ii) that all offers of units in collective investment schemes made on the Organised Market are

made in reliance on an exemption under Subdivision (4) of Division 2 under Part XIII of the SFA;

(iii) that the admission of issuers of units in collective investment schemes made available for

trading on the Organised Market is not subject to the Authority’s oversight; and

(iv) that Chintai is only recognised by the Authority as a recognized market operator in respect

of the Organised Market.

Disclosure to all participants (including indirect market participants):

(i) that all offers of units in collective investment schemes made on the Exempted Market are

made in reliance on an exemption under Subdivision (4) of Division 2 under Part XIII of the SFA;

(ii) that the admission of issuers of units in collective investment schemes made available for

trading on the Exempted Market is not subject to the Authority’s oversight; and

(iii) of all the relevant exemptions that Chintai is relying on in respect of the Exempted Market.

“Organised Market” refers to offers of securities and units in collective investment schemes

specified in paragraph 1 of the schedule of the Securities and Futures (Capital Markets

Products) Regulation that are offered to all of the participants of which are qualified investors.

“Exempted Market” refers to paragraph 2(1)(n) of the second schedule of the Securities and

Futures (Licensing and Conduct of Business) Regulations for issuances of collective investment

schemes that are non-capital market products where the underlying consists of real estate

development projects and/or real estate properties that are offered to all of the participants of

which are qualified investors.
