This website provides you access to Chintai Nexus Platform (the “Platform”). Your use of the Platform is subject to the terms and conditions of the Platform and any other terms and conditions published, both from time to time. 

To the fullest extent permitted by applicable law and except as otherwise specified in a writing by us,

(a) The Platform is provided on an "as is" and "as available" basis without warranties of any kind, and we expressly disclaim all implied warranties as to the Platform, including, without limitation, implied warranties of suitability, appropriateness, merchantability, fitness for purpose, title and non-infringement;

(b) We do not represent or warrant that the Platform is reliable, current or error-free, meet your requirements, or that defects in the Platform will be corrected; and (c) we cannot and do not represent or warrant that the Platform is free of viruses or other harmful components. 

We do not provide any advice or recommendation as to your use of the Platform. We make the Platform available to you entirely at your own risk. Except as is necessary to facilitate certain market making, liquidity or hedging functions, we will not act as counterparty or obligor to any transaction with you on the Platform including as principal, agent or otherwise. We may maintain positions in various digital assets including as the result of trades with, or orders or trade requests received from, you or other counterparties, as part of our market-making, liquidity and hedging strategies. There exists the potential that our interests may conflict with, diverge from or adversely impact your interests. Our market making and risk management activities may impact the prices communicated to you for a transaction and the availability of liquidity. We may use information provided to us as principal to effectuate our market making and risk management activities for the benefit of our trading positions. 

You represent and warrant that

(i) You have read, understand and accept the Chintai Nexus terms and conditions;

(ii) You have a sufficient understanding of the functionality, usage, storage, transmission mechanisms and other material characteristics of blockchain technology and cryptographic applications to understand the functionality of the Platform and to appreciate the risks and implications of using the Platform;

(iii) You understand, acknowledge and assume the risk associated with using the Platform

(iv) Your use of the Platform complies with applicable law and regulation in your jurisdiction for using the Platform, and entering into contracts with us, (ii) any foreign exchange or regulatory restrictions applicable to such purchase, and (iii) any governmental or other consents that may need to be obtained;

(v) You are not, nor are you an agent for a citizen or resident of a country and that you will not use the Platform in connection with transactions in any country or with any person that is subject to sanctions or embargoes imposed by the United States, United Kingdom or European Union. 

To the fullest extent permitted by applicable law, you will indemnify, defend and hold us harmless and our respective past, present and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns from and against all claims, demands, actions, damages, losses, costs and expenses (including attorneys' fees) that arise from or relate to:

(i) Your use of the Platform;

(ii) Your responsibilities or obligations under the Platform terms and conditions, including any breach thereof and

(iii) Your violation of any rights of any other person or entity.
